Terms of Service

These Terms of Service ("Terms") govern your use of ScoutChecker ("Service") provided by ScoutLabo ("we", "our").
1. Account
- Use of the Service requires a registered account (email + password).
- You are responsible for the accuracy of your registration information and the confidentiality of your credentials.
- One account per person. Sharing, selling, or transferring accounts is prohibited.
2. Data Ownership
All intellectual property and ownership of design data (netlists, BOMs, circuit configuration files, etc.) you upload to the Service belongs entirely to you (or the rightful owner). We retain it solely for the limited purpose of providing storage and analysis processing.
3. Vendor Independence Statement
3.1 Independence from Semiconductor Manufacturers
We do not accept funding, compensation, rebates, or advertising fees from semiconductor manufacturers, EDA vendors, or other electronic component suppliers in any form that could influence the review results or recommendations produced by the Service.
This is a foundational policy intended to guarantee that the Service provides neutral, objective analysis on user designs.
3.2 Independence of Recommendations
Analysis results, design recommendations, error flags, and pin-information matching produced by the Service are not generated for the purpose of promoting any specific manufacturer or part number. All analysis is performed mechanically based on the components selected by the user, the corresponding datasheet data, and the configured design rules.
3.3 Disclosure
If we ever enter into a partnership or sponsorship arrangement with a manufacturer, we will update these Terms and the Privacy Policy and notify users explicitly. Until such time, the Service is operated under a 100% user-funded model (currently freemium).
4. Prohibited Conduct
- Acts that violate any applicable law or public morals
- Attempts to gain unauthorized access to our systems
- Uploading data that infringes the intellectual property of any third party
- Using the Service to obtain other users' information without authorization
- Mechanical or excessive volume of analysis requests that degrades service quality
5. Service Provision
- The Service is provided "as is".
- Analysis results are advisory information for design review. Final design decisions remain the user's responsibility.
- We do not warrant the accuracy or completeness of analysis results (see Disclaimer below).
- Service hours and availability follow the SLA on the Security page.
6. Disclaimer
We disclaim liability for matters including but not limited to:
- Design defects that the analysis fails to detect
- Design decisions made on the basis of warnings the analysis produces in error
- Damages to users or third parties caused by use or unavailability of the Service
- Incidental events such as system outages or data loss
Our total liability is capped at the fees paid by the user during the 12 months immediately preceding the event giving rise to the claim (free-tier usage falls outside compensable scope).
7. Pricing
The Service is currently free of charge. If we introduce paid plans in the future, we will notify users in advance and clarify whether and how the free tier continues.
8. Account Suspension and Deletion
- You may delete your account at any time at your own discretion (from the profile page).
- We may suspend or delete your account, after prior notice, if you violate these Terms.
- Treatment of data following account deletion is governed by Section 5 of the Privacy Policy.
9. Changes to These Terms
We may revise these Terms as needed. Material changes are announced via email and in-product notice, with a grace period of at least 10 days before the effective date.
10. Governing Law and Jurisdiction
These Terms are governed by the laws of Japan. Any dispute related to the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
